These Terms are between the user ("Buyer") and Pallets Plus LLC, d/b/a LumberLink ("LumberLink"), operator of buypalletstock.com.
1. Account & Approval
Each company may maintain one account on buypalletstock.com, with one login. Buyer is responsible for all activity under its login and for keeping its login credentials secure. New accounts are reviewed by LumberLink before Buyer may complete payment. LumberLink aims to review new accounts within one (1) business day, but review times are not guaranteed. LumberLink may approve, decline, or request more information for any account, at its sole discretion and for any reason. LumberLink will notify Buyer by email of the outcome.
Buyer represents that all information provided during sign-up, including any tax-exemption documentation, is accurate and current, and agrees to keep it updated.
2. Orders, Holds & Pending Orders
Pending orders. A Buyer whose account is awaiting approval may place an order. A pending order is a request to purchase; it is not a confirmed sale and Buyer may not pay for it until the account is approved. LumberLink will email Buyer when the account is approved so Buyer can log in and pay.
Holds. When an order is placed, LumberLink will hold the listed load and the price shown to Buyer for two (2) business days from the time the order is placed, whether or not Buyer's account has yet been approved. Business days are Monday through Friday, Eastern Time, excluding standard U.S. federal holidays. LumberLink may send a reminder before a hold expires. LumberLink may, at its discretion, extend a hold.
Expiration. If payment is not completed (or, for an approved charge account, the order is not confirmed) before the hold expires, LumberLink may cancel the order and make the load available to other buyers, without liability to Buyer. If Buyer's account is not approved, any pending orders will be cancelled.
Confirmation. An order is not confirmed or fulfilled until payment is received, or, for an approved charge account, until LumberLink confirms the order.
3. Payment Terms
Payment at checkout. Buyer pays at checkout inside buypalletstock.com, or later from Buyer's account, by ACH bank transfer or credit card. Debit cards are not accepted. Payments are processed by Stripe, Inc. ("Stripe"). LumberLink does not charge a fee for payment by ACH.
Card processing fee. If Buyer elects to pay by card, a card processing fee will be added to the order total and is the responsibility of Buyer. The fee amount is displayed before Buyer confirms payment and appears on the invoice.
ACH authorization. By choosing to pay by ACH, Buyer authorizes LumberLink, through Stripe, to initiate a debit from the bank account Buyer provides for the amount shown. ACH payments may take several business days to settle and may be returned or fail. If an ACH payment or card payment is returned, fails, or is disputed or reversed, Buyer remains responsible for the full amount owed and for any fees LumberLink incurs as a result.
Payment status. An order paid by ACH may be shown as "payment processing" until funds are confirmed. LumberLink may delay shipping or release of a load until payment has settled.
4. Charge Accounts
LumberLink may, at its sole discretion, offer a charge account to approved Buyers. Charge accounts are enabled only by LumberLink and are subject to payment terms and a credit limit set by LumberLink. Payment is due according to the terms stated on the invoice. LumberLink may change, suspend, or cancel a charge account at any time, and may require payment before shipment on any order. Orders on a charge account are subject to LumberLink's confirmation before shipping. Buyer may pay a charge-account invoice early through the site; the card processing fee applies if paid by card.
5. Quality Issue Resolution
If Buyer believes delivered material does not conform to the listing's stated grade, specifications, or condition, Buyer must notify LumberLink and provide photographic documentation within 48 hours of delivery. LumberLink will review the claim and work with the supplying mill toward a fair resolution, which may include a partial refund, credit, or replacement, at LumberLink's discretion. LumberLink reserves the right to adjust payment to the supplying mill in cases of nonconforming material; such adjustments are between LumberLink and the mill and do not affect the resolution provided to Buyer.
6. Right to Decline / Cancel
LumberLink reserves the right to decline or cancel any order if the listed material becomes unavailable for any reason, including but not limited to supply changes at the originating mill, or if payment fails or an account is not approved. In the event of cancellation, LumberLink will notify Buyer promptly and issue a full refund of any payment received for that order, to the original payment method. LumberLink shall have no further liability to Buyer arising from an order that cannot be fulfilled.
7. Listing Accuracy & Right to Refuse
LumberLink strives for accuracy in all listings but does not guarantee that any listing is free of error, including but not limited to pricing, specifications, grade, quantity, or availability. LumberLink shall not be liable for any loss or damage arising from an error in a listing. LumberLink reserves the right to decline to list, edit, or remove any product listing at any time, entirely at its sole discretion and for any reason.
8. RFQ Quotes
By submitting a Request for Quote ("RFQ"), Buyer authorizes LumberLink to display general, non-identifying details of the request (state, species/grade, and size only) on a public demand list. Buyer's company name and exact location will not be disclosed. Any quote submitted in response to an RFQ is a non-binding estimate only and does not constitute a contract or guarantee of sale; a transaction is final only upon LumberLink's direct confirmation with Buyer. LumberLink does not guarantee that any RFQ will receive a quote, nor does it guarantee the accuracy, availability, or pricing represented in any quote submitted by a third party. LumberLink reserves the right to remove any RFQ from the public demand list, or decline to act on it, at any time and entirely at its sole discretion.
9. Commission Disclosure
LumberLink acts as principal (not agent) in every transaction facilitated through this platform, purchasing material from the originating mill and reselling it to Buyer. The price displayed to Buyer includes a commission, currently targeted at up to 4.5%, retained by LumberLink as compensation for sourcing, listing, and facilitating the transaction. This commission is not itemized separately and is not disclosed to the originating mill or Buyer on a per-transaction basis beyond this general disclosure.
10. Pickup, Delivery & Pricing Accuracy
Pricing. Pricing displayed on this platform reflects either FOB (pickup) or delivered pricing based on Buyer's selection at time of order. Delivered pricing includes freight calculated using an estimated mileage-based freight rate and is subject to correction if a discrepancy between Buyer's selected option and the price applied is identified prior to fulfillment. LumberLink will notify Buyer of any such correction before the order ships. Delivery may not be available at every distance; where it is not, LumberLink may offer a freight quote or pickup only.
Delivered orders. For delivered orders, LumberLink arranges freight. Delivery dates and times are estimates.
Pickup orders. For pickup orders, Buyer is responsible for pickup logistics. LumberLink will provide a Bill of Lading authorizing release of the load. LumberLink may, at its discretion, authorize release of a load before payment has fully settled; in that case the Bill of Lading will indicate that payment is pending. If payment later fails or is reversed, Buyer remains responsible for the full amount owed and any associated fees, and LumberLink may take any action permitted by law to collect.
11. Buyer Tax Exemption Obligation
Buyer is solely responsible for providing LumberLink with a valid, current resale or sales-tax-exemption certificate if Buyer intends to purchase tax-exempt. Certificates are reviewed by LumberLink; submission of a certificate does not by itself make an account tax-exempt. Until LumberLink has reviewed and approved a certificate, applicable sales tax will be charged. LumberLink may reject any certificate that is incomplete, expired, inconsistent with the delivery state, or otherwise unacceptable, and may require Buyer to update certificates before they expire. Sales tax, where applicable, will be shown before payment. LumberLink is not responsible for tax liability arising from an expired, invalid, or unprovided certificate.
12. SKU / Order Processing Accuracy
Orders placed through this platform are processed through LumberLink's internal order management system. In the event of a system or data processing error — including but not limited to a listing or order failing to process correctly — LumberLink may delay, correct, or cancel the affected order. Where an order is cancelled for this reason, the remedy provided in Section 6 (Right to Decline / Cancel) shall apply.
13. Limitation of Liability
To the fullest extent permitted by law, Pallets Plus LLC, d/b/a LumberLink, and its officers, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of this platform or any transaction facilitated through it. LumberLink's total liability arising out of any single transaction shall not exceed the amount actually paid by Buyer for that transaction. Buyer agrees to indemnify and hold LumberLink harmless from any claim arising out of Buyer's misuse of the platform, breach of these Terms, or violation of applicable law. This limitation does not apply to the remedies expressly provided in Sections 5 (Quality Issue Resolution) and 6 (Right to Decline / Cancel) above, which remain Buyer's primary remedies for a nonconforming or cancelled order.
14. Data Privacy
LumberLink collects personal and business information provided by Buyer, including but not limited to name, company name, contact information, delivery address, and tax-exemption documentation, in order to create Buyer's account, process orders, and communicate regarding transactions. Payment information is collected and processed by Stripe; LumberLink does not store full card numbers or bank account details, and Stripe's own privacy policy and terms apply to payments. LumberLink may also use Buyer's contact information to notify Buyer of new services, products, or ventures offered by LumberLink or its affiliates. Buyer may opt out of marketing communications at any time via the unsubscribe link included in such communications; opting out does not affect transactional communications related to an active or completed order. LumberLink does not sell Buyer's information to third parties.
15. Governing Law & Venue
These Terms and any transaction conducted through this platform shall be governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Buyer agrees that any dispute arising out of or relating to these Terms or a transaction facilitated through this platform shall be brought exclusively in the state or federal courts located in Kentucky, and Buyer consents to the personal jurisdiction of such courts.
16. Force Majeure
LumberLink shall not be liable or considered in breach of these Terms for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, severe weather, fire, mill shutdown, labor disputes, fuel shortages, or significant disruption to shipping or freight availability. In such event, LumberLink will notify Buyer as soon as reasonably practicable and, where the affected order cannot be fulfilled, issue a refund consistent with Section 6 (Right to Decline / Cancel).
17. Agreement to Terms
By creating an account, and by checking the box provided at checkout or at RFQ/order submission, Buyer affirmatively agrees to these Terms and Conditions in full.
